Terms of Service for Frye Ads
1. INTRODUCTION
These Terms and Conditions (“Agreement”) are entered into between Service Provider: WestMetric LLC, having its registered office at 1701 South Figueroa #1127, Los Angeles, CA 90015, and parties seeking paid media advertising consulting and management services (“Clients”). These terms govern the provision of Frye Ads services by the Service Provider to Clients, collectively referred to as the “Parties.”
2. SERVICE PROVISION
2.1 Services: The Service Provider agrees to perform paid media management services as described in or on Frye Ads (“Services”) for Clients seeking online media support services.
2.2 Commencement and Duration: The Services will initiate on the date the invoice for the Services is issued or a later date specified by Clients. The Services will continue for a period of thirty (30) days from the commencement date.
2.3 Payment and Information: Before Services commencement, Clients shall:
- Make full payment of the invoice for the Services. Payment methods include credit and debit card, ACH, Apple Pay®, PayPal, or Venmo.
- Provide access to their Google Analytics account. In the absence of an account, the Service Provider will create one.
- Provide means for editing their Domain DNS records.
- Grant access to the backend of their Content Management System (CMS) for editing and publishing on their website. This necessitates login credentials for platforms such as WordPress, Squarespace, Wix, or other CMS platforms.
3. STRIPE PAYMENT COLLECTION AND CANCELLABLE MONTHLY SUBSCRIPTIONS
Clients acknowledge and agree that payments for Services shall be processed through Stripe, a third-party payment processing service. Clients authorize the Service Provider to collect payments for Services using the payment method specified by Clients. Clients understand that Services are provided on a monthly subscription basis, which can be canceled at any time before the end of the current billing cycle. The cancellation will take effect at the end of the current billing cycle, and no further charges will be incurred.
4. CONFIDENTIALITY
The Service Provider undertakes not to disclose any Confidential Information acquired from Clients during the provision of Services.
5. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the State of California.
6. INDEMNIFICATION
Clients seeking SEO services agree to indemnify and hold the Service Provider, its subsidiaries, affiliates, successors, or assigns, harmless from any and all claims, losses, damages, and liabilities arising from their use of the Services.
7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties regarding the subject matter and supersedes all previous undertakings and agreements, whether written or oral.
8. AMENDMENTS
No amendment or modification to this Agreement shall be valid unless in writing and signed by both Parties.
9. WAIVER
Failure by either Party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision.
10. SEVERABILITY
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
11. ASSIGNMENT
This Agreement is binding upon and shall inure to the benefit of the Parties and their respective successors, assigns, and legal representatives.
